Terms & Conditions of Business

These Terms & Conditions (“Terms”) govern all services provided by Octagon Property Services Group Ltd (“OPSG”, “we”, “us”, “our”) and apply to all clients (“Client”, “you”, “your”).

They apply to all quotations, instructions, services, reports, and invoices issued by OPSG and override any conflicting terms unless expressly agreed in writing by OPSG.


1. Acceptance of Terms

1.1 These Terms apply to all engagements with OPSG, including consultancy, surveying, reporting, contractor introduction, project coordination, and related property services.

1.2 Acceptance of a quotation, instruction to proceed, or payment of any invoice constitutes full acceptance of these Terms, including non-circumvention and introduction protection provisions.

1.3 No signature is required for these Terms to be legally binding.


2. Scope of Services

2.1 OPSG provides professional property-related services as agreed in writing.

2.2 OPSG does not guarantee outcomes or the performance of third-party contractors.


3. Fees & Payment

3.1 Fees shall be as stated in OPSG’s quotation or invoice.

3.2 Unless otherwise agreed in writing:

  • Invoices are payable within 30 days of the invoice date unless otherwise agreed in writing by the Managing Director only.
  • Fees are exclusive of VAT

3.3 OPSG reserves the right to suspend services for non-payment.

3.4 Late payment may result in administrative or recovery charges.


4. Non-Circumvention & Introduction Protection

4.1 OPSG introduces and appoints contractors, consultants, and suppliers as part of its services.

4.2 Clients shall not directly or indirectly engage, instruct, or contract with any OPSG-introduced contractor, consultant, or supplier without OPSG’s prior written consent.

4.3 This restriction applies for 24 months from the date of introduction.

4.4 Where works, services, or engagements arise directly or indirectly from OPSG’s reports, recommendations, introductions, or involvement, OPSG’s fee, margin, or commission shall remain payable, regardless of who ultimately instructs the contractor.

4.5 OPSG reserves the right to recover lost fees, margin, commission, and/or reasonable damages in the event of breach.


5. Ownership of Introductions, Reports & Intellectual Property

5.1 All reports, recommendations, methodologies, introductions, and documentation provided by OPSG remain the commercial and intellectual property of OPSG, unless expressly agreed otherwise in writing.

5.2 Clients are granted a limited, non-transferable licence to use such materials solely for their intended purpose.

5.3 OPSG materials may not be shared with third parties or relied upon for alternative purposes without OPSG’s prior written consent.


6. Single Point of Instruction

OPSG acts as the sole point of instruction for services it manages or coordinates. Any instruction issued directly to an OPSG-appointed contractor without OPSG’s written approval shall be deemed unauthorised.


7. Third-Party Contractors

7.1 Contractors introduced by OPSG operate as independent third parties.

7.2 OPSG accepts no liability for the acts, omissions, performance, or workmanship of third-party contractors.


8. Limitation of Liability

8.1 OPSG’s total liability arising out of or in connection with any services provided shall be limited to the fees paid to OPSG for the relevant service.

8.2 OPSG shall not be liable for any indirect, consequential, or economic losses, including loss of profit or business opportunity.


9. Indemnity

The Client agrees to indemnify and hold harmless OPSG against all claims, losses, damages, costs, and expenses arising from:

  • Breach of these Terms
  • Unauthorised use of OPSG materials
  • Circumvention of OPSG introductions

10. Website Use

Content on https://opsg.uk is provided on an “as is” basis. OPSG makes no warranties as to accuracy, availability, or uninterrupted access to the website.


11. Confidentiality

Each party agrees to keep confidential any commercially sensitive or proprietary information disclosed during the course of engagement.


12. Termination

OPSG may terminate services immediately for non-payment or material breach of these Terms. Termination shall not affect accrued rights or outstanding fees.


13. Survival

Any provisions of these Terms which by their nature are intended to survive termination or completion of services shall continue in full force and effect.

Without limitation, this includes provisions relating to non-circumvention, introduction protection, ownership of reports and intellectual property, fees and payment entitlement, indemnity, limitation of liability, and governing law.


14. Variation of Terms

OPSG reserves the right to update or amend these Terms at any time. The latest version published on the OPSG website shall apply to all ongoing and future engagements.


15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
